True Self Embodied LLC – Terms & Conditions Agreement
This website and all associated programs, services, and materials are operated by True Self Embodied LLC (“True Self Embodied LLC,” “we,” “us,” or “our”). By accessing this website, enrolling in any program, or purchasing any service, you (“Participant,” “Client,” or “you”) agree to be bound by the following Terms and Conditions (“Terms,” “Agreement”), including any additional policies referenced herein or available by hyperlink.
These Terms apply to all users of the site and participants in our services, including, without limitation, browsers, customers, clients, vendors, merchants, or contributors of content.
Please read these Terms carefully before enrolling in any program or using our services. By participating in any program or purchasing from us, you agree to these Terms. If you do not agree, you may not access our website, purchase our services, or participate in our programs.
We reserve the right to update, change, or replace any part of these Terms at our discretion by posting updates to our website or providing notice through other reasonable channels. Your continued participation constitutes acceptance of those changes.

1. GENERAL PROVISIONS
1.1. You represent that you are at least 18 years of age or have obtained parental or guardian consent for minors participating in our programs.
1.2. You agree to comply with all applicable laws while using the True Self Embodied LLC website and services.
1.3. True Self Embodied LLC reserves the right to refuse service, modify, or discontinue any program, feature, or content at our discretion.
1.4. You acknowledge that program content is designed for educational, personal, spiritual, and professional development purposes only.

2. INTELLECTUAL PROPERTY AND RESTRICTIONS
2.1. All programs, courses, audio/video content, materials, frameworks, and intellectual property are the exclusive property of True Self Embodied LLC.
2.2. You may use the content only for personal, private use and may not reproduce, distribute, resell, license, or publicly share any materials without express written permission.
2.3. Unauthorized use of intellectual property may result in removal from the program, legal action, or both.

3. RECORDINGS AND PROGRAM CONTENT
3.1. All group calls, coaching sessions, live transmissions, or program content may be recorded. By participating, you consent to being recorded.
3.2. True Self Embodied LLC may reuse recordings, in whole or in part, in current or future programs, courses, or services.
3.3. True Self Embodied LLC retains all rights to these recordings and may distribute or reproduce them at its discretion.

4. CONTRIBUTIONS, COMMENTS, AND SUBMISSIONS
4.1. Any submissions you provide, including ideas, suggestions, stories, feedback, images, or recordings (“Submissions”), may be used by True Self Embodied LLC for marketing, training, branding, or future program purposes.
4.2. You grant True Self Embodied LLC a perpetual, worldwide, royalty-free, irrevocable license to use Submissions for any business purpose.
4.3. True Self Embodied LLC is under no obligation to maintain Submissions in confidence, provide compensation, or respond.
4.4. Submissions must not violate third-party rights or contain unlawful, abusive, or malicious content.

5. COMMUNITY CONDUCT
5.1. Participants agree to engage respectfully, refraining from disruptive, abusive, harmful, or unlawful behavior.
5.2. True Self Embodied LLC may, at its discretion, monitor, edit, or remove content deemed inappropriate, offensive, or in violation of these Terms.
5.3. Zero Tolerance for Character Attacks.
Harassment, threats, defamation, intimidation, or attacks upon the character, integrity, reputation, or intent of True Self Embodied LLC or its representatives—whether public or private, on-platform or off-platform—may result in immediate termination and revocation of access to any and all programs, services, and products without refund.


6. CONFIDENTIALITY
6.1. Participants are expected to respect the confidentiality of other participants and group discussions.
6.2. True Self Embodied LLC is not obligated to maintain confidentiality of Submissions, recordings, or transmissions as described in Sections 3 and 4.
6.3. Confidential information does not include publicly available information or independently developed materials.

7. DISCLAIMERS
7.1. No Warranties. All programs, services, and materials are provided “as is” and “as available” without any warranties of any kind, express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7.2. Technology Disclaimer. We make no guarantee that your access to our website, courses, or live programs will be uninterrupted, timely, secure, or error-free. We are not responsible for delays, disruptions, or issues related to internet connections, platform providers (e.g., Zoom), or third-party technology.
7.3. Errors & Omissions. While we strive for accuracy, we do not warrant that any information provided is complete, reliable, or up-to-date. Consciousness and spiritual teachings evolve; no guarantee of absolute accuracy is made.
7.4. External Links. Our services may contain links to third-party websites or resources. True Self Embodied LLC is not responsible for the content, accuracy, or practices of these external sites.

8. LIMITATION OF LIABILITY & RELEASE OF CLAIMS
8.1. To the maximum extent permitted by law, you release and hold harmless True Self Embodied LLC from any and all claims, damages, or liabilities arising from your participation.
8.2. Under no circumstances shall True Self Embodied LLC be liable for any indirect, consequential, incidental, punitive, or special damages.
8.3. Our total liability, if any, shall be limited strictly to the fees you paid directly to True Self Embodied LLC for the program or service giving rise to the claim.

9. PAYMENTS, REFUNDS, AND CHARGEBACKS
9.1. All program fees, including coaching, membership groups, courses, and audio/video services, are non-refundable and non-transferable unless explicitly stated otherwise.
9.2. Payment plans do not reduce your obligation to pay the full program price.
9.3. Non-payment, partial payment, or default may result in suspension or removal from programs and collection efforts, including legal action and recovery of attorney’s fees.
9.4. Chargebacks. By purchasing from us, you waive the right to initiate chargebacks with your credit card provider. If you dispute a legitimate charge, you agree to reimburse us for any chargeback fees and collection costs.

10. PROGRAM TERMINATION
10.1. True Self Embodied LLC reserves the right to terminate participation in any program with or without notice and without explanation, at its sole discretion.
10.2. Grounds for termination may include, but are not limited to:
* Failure to make timely payment.
* Breach of these Terms or any other agreement.
* Disruptive, disrespectful, or harmful behavior.
* Harassment, defamation, or threatening conduct toward True Self Embodied LLC or other participants.
* Any other condition determined solely at our discretion.
10.3. Termination does not entitle the Participant to a refund, and any outstanding balances remain due.
10.4. Immediate Revocation of Access.
Upon termination for any reason, all access to programs, services, platforms, communities, recordings, materials, digital content, and resources—whether live, recorded, current, archived, or previously purchased—shall be immediately revoked, without refund.
10.5. No Lifetime Access.
True Self Embodied LLC does not offer lifetime access to any product, service, program, or material unless expressly stated in writing. All access is conditional, revocable, and subject to the ongoing discretion of True Self Embodied LLC.]
10.6. Sole Discretion.
Determinations regarding termination, access revocation, and eligibility to continue participation are made solely at the discretion and discernment of True Self Embodied LLC and are final.


11. PROGRAM & MEMBERSHIP SPECIFICS
11.1. Programs may include 1:1 coaching, group courses, live and recorded sessions, membership groups, audio/video coaching, or other services.
11.2. True Self Embodied LLC may provide live or pre-recorded content as needed, without guarantee of real-time participation.
11.3. Program features, schedules, and content are subject to change at the discretion of True Self Embodied LLC.
11.4. Participants are responsible for ensuring they can access content, sessions, and materials using their own technology and internet.

12. INDEMNIFICATION
12.1. You agree to defend, indemnify, and hold harmless True Self Embodied LLC and its affiliates, officers, directors, agents, employees, contractors, licensors, and service providers from any claims, liabilities, damages, or expenses, including reasonable attorneys’ fees, arising out of:
* Your breach of these Terms or related policies.
* Your violation of applicable law or third-party rights.
* Your conduct in connection with program participation or website use.

13. DISPUTE RESOLUTION – BINDING ARBITRATION
13.1. Good Faith Resolution First. It is our hope that any differences can be resolved amicably through direct email correspondence. Before pursuing arbitration, you must email us at ashtyn@trueselfembodied.com describing the nature of your concern and the relief you seek. We will attempt to resolve the matter informally within a reasonable timeframe.
13.2. Binding Arbitration Only. If a resolution cannot be reached within a reasonable timeframe, you agree that the sole and exclusive method of dispute resolution shall be binding arbitration before a single, neutral arbitrator, jointly selected, in accordance with the rules of the American Arbitration Association (AAA). Arbitration replaces the right to sue in court or have a jury trial.
13.3. Venue & Governing Law. Arbitration shall take place in the State of Virginia, U.S.A., where True Self Embodied LLC is located, and shall be governed by the laws of Virginia and applicable U.S. federal arbitration law. The arbitration will not be conducted in any court, though if necessary, either party may request that a court of competent jurisdiction in Virginia enforce the arbitrator’s final decision.
13.4. Remedies Strictly Limited. The only remedy that may be awarded to you through arbitration is a refund of the fees you paid directly to True Self Embodied LLC for the specific program or service at issue. You expressly waive any right to consequential, incidental, indirect, punitive, exemplary, or special damages.
13.5. Final and Binding Decision. The arbitrator’s decision is final and binding on both parties. Except as required for enforcement purposes, neither party will pursue further legal action.
13.6. Time Limitation. Any claim must be initiated by arbitration within one (1) year of the date you first emailed notice of your dispute, or it is permanently waived.
13.7. Waiver of Jury Trial & Class Actions. You expressly waive the right to a jury trial, the right to participate in a class action, and the right to bring claims on a consolidated basis. Arbitration will be conducted strictly on an individual basis.
13.8. No Disparagement. During and after the arbitration process, you agree not to engage in public or private disparagement, including on social media, of True Self Embodied LLC, its owners, or its programs, products, or services. You are not restricted, however, from sharing your concerns or opinions where disclosure is required by law or as part of the arbitration itself.

14. SEVERABILITY
If any provision of these Terms is found to be unlawful, void, or unenforceable, it shall remain enforceable to the maximum extent permitted by law, and the remainder of the Terms shall remain valid and enforceable.

15. ENTIRE AGREEMENT
This Agreement constitutes the full understanding between the Participant and True Self Embodied LLC regarding the subject matter herein and supersedes all prior agreements, communications, and representations.
